General Terms and Conditions

Eggheads.World Fine-Art Editions

1. Scope

These General Terms and Conditions apply to all purchases of Fine-Art Editions and related products offered through Eggheads.World.

The contractual partner and seller is:

Zurich, Switzerland

By placing an order, the buyer confirms that they have read and accepted these General Terms and Conditions.
Individual agreements made in writing take precedence over these terms.

2. Fine-Art Editions

The physical artworks of Eggheads.World are offered under the collective term Fine-Art Editions.

They are divided into:

  • Single Edition Fine-Art Prints
  • Limited Edition Fine-Art Prints

All Fine-Art Editions are works created by the Ugauga artist collective and emerge from the artistic universe of the Lucky Charm Eggheads.

3. Single Edition Fine-Art Prints

Each Single Edition Fine-Art Print is a unique physical artwork produced as a 1/1 edition. Only one physical Fine-Art Print of the respective work is created.

Following production and quality control, the original production file used for printing is deleted. Digital files required for documentation, presentation, certification or legal record-keeping may be retained.

Each Single Edition Fine-Art Print is individually documented and accompanied by a certificate of authenticity.

Where expressly stated on the product page, the NFT connected to the underlying Lucky Charm Egghead is transferred to the buyer after full payment. The transfer may require a compatible blockchain wallet supplied by the buyer.

Any blockchain transaction fees or technical requirements relating to the transfer will be communicated before the transfer takes place.

4. Limited Edition Fine-Art Prints

Limited Edition Fine-Art Prints are produced in a strictly limited edition of the quantity stated on the respective product page.

Each copy is individually numbered and certified. Once the stated edition has been completed, no additional copies of the same edition will be produced.

Artist’s proofs, exhibition copies or archive copies will only exist where they are expressly declared as part of the edition documentation.

5. Product Characteristics

The images displayed on the website are intended to represent the artworks as accurately as possible.

Differences in screen settings, colour reproduction, handmade paper structure, printing materials and production processes may result in minor variations between the digital presentation and the physical artwork. Such variations are characteristic of Fine-Art production and do not constitute a defect.

The dimensions, paper, printing method, edition size and other relevant details are stated on the respective product page.

Unless otherwise specified, frames and decorative objects shown in photographs are not included.

6. Conclusion of Contract

The presentation of products on Eggheads.World does not constitute a legally binding offer.

By completing the checkout process, the buyer submits a binding order. The contract is concluded when Ugauga GmbH confirms the order by email or begins processing the order.

Ugauga GmbH reserves the right to reject or cancel an order in the event of:

  • incorrect product or price information;
  • technical errors;
  • suspected fraud or misuse;
  • inability to produce or deliver the artwork;
  • duplicate orders for a unique 1/1 artwork.

Any payment already received for a cancelled order will be refunded.

7. Prices and Payment

The prices shown on the website at the time of ordering apply.

Unless otherwise stated, prices are displayed in the currency indicated in the online shop and include any Swiss value-added tax that may be applicable.

Shipping costs are shown separately during the ordering process.

For deliveries outside Switzerland, customs duties, import taxes, handling charges and other fees may be imposed by the destination country. These costs are the responsibility of the buyer and are not included in the purchase price or shipping charges.

Payment must be made using one of the payment methods offered during checkout.

8. Production and Delivery

Fine-Art Editions may be produced individually after an order has been received.

The estimated production and delivery times shown on the website are indicative and do not constitute guaranteed delivery dates unless expressly agreed otherwise.

Delivery times may be affected by production requirements, quality control, shipping providers, customs procedures or circumstances beyond the reasonable control of Ugauga GmbH.

The buyer is responsible for providing a complete and correct delivery address. Additional costs caused by incorrect address information, refusal of delivery or failure to collect a shipment may be charged to the buyer.

Risk passes to the buyer in accordance with the applicable statutory provisions.

9. Inspection and Transport Damage

The buyer should inspect the shipment immediately upon receipt.

Visible transport damage should be reported to the carrier and to Ugauga GmbH as soon as possible. Photographs of the packaging, shipping label and damaged artwork should be retained and submitted with the notification.

Removing or disposing of the original packaging before the damage has been documented may make it more difficult to process a transport claim.

10. Defects and Warranty

An artwork is considered defective if it does not possess the characteristics expressly stated or reasonably expected at the time of purchase.

The buyer must notify Ugauga GmbH of any defect as soon as it is discovered and provide a description and photographic documentation.

In the event of a justified defect, Ugauga GmbH may, depending on the nature of the artwork and the defect:

  • repair the artwork;
  • replace it where replacement is possible;
  • reduce the purchase price; or
  • refund the purchase price upon return of the artwork.

A Single Edition Fine-Art Print cannot always be replaced because it exists only once. In such cases, an appropriate individual solution will be agreed.

Normal variations in handmade paper, print texture and colour reproduction, as well as damage caused by improper handling, unsuitable framing, direct sunlight, humidity, temperature, storage or cleaning, are not considered defects.

Mandatory statutory warranty rights remain reserved.

11. Returns

Swiss law does not provide a general statutory right of withdrawal for ordinary online purchases. Ugauga GmbH may nevertheless grant a voluntary return right under the conditions stated on the Eggheads.World website.

Unless a product is expressly excluded from return, an undamaged artwork may be returned within 14 days after receipt.

The buyer must notify Ugauga GmbH before returning the artwork. The artwork must be returned unused, undamaged, complete and in its original protective packaging.

The buyer bears the return shipping costs for a voluntary return and is responsible for secure transport.

Custom-made, personalised or specially commissioned works may be excluded from voluntary return where this is stated before purchase.

The right to make a claim concerning a defective or incorrectly delivered artwork remains unaffected.

12. Certificates, QR Codes and Blockchain Records

Each Fine-Art Edition may include a discreet QR code connecting the physical artwork to its documentation, Catalogue Raisonné or digital certificate of authenticity.

Certificates and blockchain records support the documentation of origin and authenticity. They do not replace the physical artwork and do not independently grant copyright or commercial exploitation rights.

The buyer must not intentionally alter, remove, reproduce or misuse a certificate, edition number, QR code or authenticity record.

The availability of external blockchain networks, wallet services, browsers and other third-party technologies cannot be guaranteed permanently by Ugauga GmbH.

13. Ownership and Copyright

Upon full payment, the buyer acquires ownership of the delivered physical artwork.

Ownership of the physical artwork does not include the copyright, trademark rights, reproduction rights or commercial exploitation rights.

All intellectual property rights remain with Ugauga GmbH, the Ugauga artist collective or the respective rights holder.

Without prior written permission, the buyer may not:

  • reproduce the artwork;
  • create or distribute prints, merchandise or digital copies;
  • use the artwork for advertising or commercial purposes;
  • modify the artwork and distribute the modified version;
  • use the artwork in connection with artificial intelligence training, generative models or digital asset creation;
  • present themselves as the creator or rights holder.

The buyer may display the physical artwork privately and may resell or transfer the physical original, subject to applicable law.

Photographs of the artwork for private, documentary or resale purposes are permitted, provided they do not misrepresent the work or infringe the rights of Ugauga.

14. NFT and Digital Rights

Where an NFT is transferred together with a Fine-Art Edition, ownership of the NFT does not automatically transfer copyright, trademark rights or commercial exploitation rights.

The NFT functions as a digital artwork, record or connection within the Eggheads.World project, according to the description provided at the time of purchase.

The buyer is responsible for the security of their blockchain wallet, private keys, passwords and access credentials. Ugauga GmbH is not responsible for losses caused by incorrect wallet information, loss of access credentials, unauthorised access or actions carried out through the buyer’s wallet.

Blockchain transactions are generally irreversible.

15. Resale and Provenance

The buyer is encouraged to retain all certificates, packaging and documentation connected with the artwork.

In the event of resale, the buyer should provide the new owner with the certificate of authenticity and inform Ugauga GmbH where an update to the provenance record, Catalogue Raisonné or artwork location is desired.

A change of physical ownership does not automatically update blockchain records, the interactive map or the Catalogue Raisonné.

Any resale royalty or other obligation arising under mandatory law remains reserved.

16. Limitation of Liability

Ugauga GmbH is liable for direct damage caused intentionally or through gross negligence.

To the extent permitted by law, liability for slight negligence, indirect loss, consequential damage, loss of profit, loss of digital access and failures of third-party services is excluded.

This limitation does not apply where liability cannot legally be excluded, including liability for personal injury or mandatory product liability.

17. Data Protection

Personal data is processed in accordance with the privacy policy published on Eggheads.World and applicable data-protection law.

Information required for payment, delivery, certification, blockchain transfer or provenance documentation may be shared with the service providers necessary to complete these processes.

18. Amendments

Ugauga GmbH may amend these General Terms and Conditions at any time.

The version in force at the time the order is placed applies to the respective purchase. Subsequent amendments do not retroactively change an existing contract unless required by law or expressly agreed by both parties.

19. Severability

If any provision of these General Terms and Conditions is invalid or unenforceable, the remaining provisions remain unaffected.

The invalid provision will be replaced by the applicable statutory rule or by a valid provision that most closely reflects its intended purpose.

20. Applicable Law and Jurisdiction

These General Terms and Conditions and all contracts concluded through Eggheads.World are governed by Swiss law, excluding conflict-of-law rules and the United Nations Convention on Contracts for the International Sale of Goods.

The place of jurisdiction is Zurich, Switzerland, subject to mandatory jurisdiction provisions protecting consumers. In international consumer relationships, mandatory law at the buyer’s place of residence may also apply.
